Dara Property: Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Dara Finance Inc. ("Dara", "we", "us") governing your use of Dara Property, the service for buying, financing, and managing US investment property from abroad. By using Dara Property, you agree to these Terms.

Please read these Terms carefully. They include important limitations on our liability and explain the roles of the lenders and providers involved in a transaction. If you do not agree, you should not use Dara Property.

Introduction and acceptance

These Terms, together with the documents they reference, including our Privacy Policy, Cookie Policy, Electronic Communications Consent, and Disclosures, form the agreement between you and Dara for Dara Property. Where a partner lender or provider delivers a specific service, that party's own agreement also applies to that service.

By using Dara Property, you confirm that you have read and accepted these Terms. If you are using Dara Property on behalf of an entity, you confirm you are authorised to accept these Terms for that entity.

Definitions

"Provider" means an independent third party, such as an appraisal, title, insurance, or entity-formation service, engaged to deliver part of a transaction. "Partner lender" means a lender that offers financing through Dara Property.

"Entity" means a legal entity, such as an LLC, set up to hold or finance a property. "Transaction" means the steps involved in purchasing, financing, or managing an investment property through Dara Property.

What Dara Property does

Dara Property helps you set up what a US purchase needs, including an LLC, an EIN, and a US bank account, and coordinates appraisal, title, and insurance digitally. Some steps are delivered by third-party service providers.

Dara is not a law firm, title company, or real-estate broker; regulated steps are performed by appropriately licensed providers. Dara's role is to coordinate the process and surface the information you need at each step.

Eligibility

You must be at least 18 years old and able to form a binding contract, and you must complete identity verification before proceeding with a transaction.

We may decline to proceed, or limit the steps available to you, where we cannot verify your identity or where doing so is required by law, a partner lender, or a provider.

Account registration and security

You are responsible for the accuracy of the information you provide and for keeping your credentials secure. You must tell us promptly about any unauthorised use of your account.

You are responsible for activity that occurs under your account and for ensuring that information you provide about an entity is accurate and that you are authorised to act for it.

Financing is for investment property

Any financing offered through Dara Property is for investment (non-owner-occupied) property and is provided through partner lenders. Dara is not the lender unless expressly stated.

Applying does not guarantee approval. Loan terms are set by the lender and disclosed to you before you commit.

Entity, EIN, and US bank setup

Dara Property helps coordinate the setup of a US entity, an EIN, and a US bank account so you can hold and finance investment property. These steps may be delivered with independent formation, banking, and tax-registration providers.

You are responsible for the ongoing obligations of any entity you form, including filings, taxes, and record-keeping, and Dara does not act as your registered agent, accountant, or attorney unless expressly stated.

No guarantee of returns

Property investment carries risk. Dara does not guarantee rental income, occupancy, appreciation, or any investment return.

Any figures, estimates, or calculators are illustrative only and are not a promise of performance.

Third-party providers

Appraisal, title, insurance, legal formation, and similar services are provided by third parties under their own terms. Dara is not responsible for the acts or omissions of independent providers.

Where you engage a provider, your relationship for that service is with the provider, and their pricing and terms apply to it.

Fees and charges

Dara's fees and third-party costs are disclosed to you before you commit to a step that incurs them. Partner lenders and providers set their own charges, which are disclosed by them or surfaced through Dara before you proceed.

You are responsible for taxes and government charges that apply to your transaction and to any entity you form.

Prohibited use, AML and sanctions

You may not use Dara Property for unlawful activity, fraud, money laundering, or transactions involving sanctioned persons or jurisdictions. We may pause or decline transactions and report activity as required by law.

To meet these obligations we, our partner lenders, and providers may request additional information about you, your entity, your source of funds, or a transaction, and may decline activity we cannot verify.

Intellectual property

The Dara name, logo, app, website, and content are owned by Dara or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use Dara Property for its intended purpose.

You may not copy, modify, distribute, or create derivative works from the service except as permitted by these Terms or applicable law.

Disclaimers of warranties

Dara Property is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted or error-free, and we do not warrant the outcome of any application, appraisal, valuation, or investment.

Limitation of liability

To the extent permitted by law, Dara is not liable for indirect or consequential losses. Nothing in these Terms limits liability that cannot be limited under the laws of the State of Delaware.

Our aggregate liability arising from your use of Dara Property is limited to the extent permitted by applicable law.

Indemnification

You agree to indemnify Dara, its partner lenders, and its providers against reasonable claims, losses, and costs arising from your breach of these Terms, your misuse of Dara Property, or your violation of law or the rights of others, to the extent permitted by applicable law.

Suspension and termination

We may suspend or end your access where required by law, by a partner or provider, or where we reasonably suspect misuse. Where practical and lawful, we will let you know and explain your options.

Provisions that by their nature should survive termination, including obligations to providers and lenders you have engaged, will continue to apply.

Changes to these Terms

We may update these Terms and will give notice of material changes; continued use after the effective date means you accept them.

If you do not agree to an update, you should stop using Dara Property.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, and disputes will be resolved as provided under that law. We encourage you to contact us first so we can try to resolve any concern informally.
